2. Our Services

Vermilion Quill provides editorial and writing assistance services to content teams and organisations. Our current service offerings are:

Service descriptions and pricing are subject to change. Confirmed pricing at the time of your formal engagement will apply to that engagement.

3. Engagement & Scope

Each engagement begins with an initial discussion to clarify your needs and agree on the scope of work. A written summary of the agreed scope will be shared before work commences.

Any changes to the agreed scope requested after work has begun may affect the timeline or fee. Scope changes will be discussed and confirmed in writing before we proceed with additional work.

We work with content teams and professional organisations. By engaging us, you confirm that the content you share with us is not unlawful and that you hold the relevant rights to it.

4. Pricing & Payment

All prices are listed in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless otherwise stated. Payment terms are agreed at the time of engagement confirmation.

For most engagements, we request partial payment before work begins. The remainder becomes due upon completion of the agreed deliverables. Specific payment schedules are outlined in your engagement summary.

We do not offer indefinite credit terms. If payment is not received within the agreed period, we reserve the right to pause work until payment is settled.

5. Deliverables & Timelines

Estimated timelines are provided for each service and discussed in the engagement summary. These timelines are indicative; they may be affected by delays in receiving required materials from you, or by circumstances outside our reasonable control.

We will notify you promptly if we anticipate a significant delay and will work with you to find a reasonable resolution.

Our deliverables are provided in electronic form unless otherwise agreed. You are responsible for reviewing deliverables and raising any concerns within the feedback period specified in your engagement summary.

6. Intellectual Property

Upon receipt of full payment for an engagement, you are granted full ownership of the final deliverables produced specifically for your project. This includes any written summaries, style guides, and draft documents forming part of that engagement.

We retain ownership of our underlying methods, frameworks, templates, and any pre-existing materials that we bring to an engagement. Nothing in this agreement transfers ownership of our general processes or tools.

You grant us permission to use your content solely for the purpose of completing the agreed work. We do not use client content for any other purpose without your written consent.

7. Confidentiality

We treat all content, briefs, and business information shared with us as confidential. We do not share client materials with third parties without your permission, except where necessary to complete the agreed work (such as with a secure file-sharing platform we use for project management).

We ask that you treat any working documents, draft outputs, and process information we share with you as confidential to our working relationship as well.

8. Limitation of Liability

Our services are editorial and writing assistance in nature. We do not represent that any content produced will achieve specific commercial results, performance targets, or audience responses. Outcomes depend on many factors beyond our control.

To the extent permitted by applicable Malaysian law, our total liability in connection with any engagement shall not exceed the fees paid for that specific engagement. We are not liable for any indirect or consequential losses.

Nothing in these terms limits liability for matters that cannot be excluded under Malaysian law.

9. Termination

Either party may withdraw from an engagement by giving written notice. If you withdraw after work has commenced, you remain liable for fees corresponding to the portion of work completed at the time of withdrawal.

We may withdraw from an engagement if you breach these terms and do not remedy the breach within a reasonable time of being notified. In such circumstances, fees for work already completed remain due.

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the Malaysian courts.

We encourage clients to raise any concerns with us directly in the first instance. Most matters can be resolved through open and straightforward discussion.
